Supplemental - Infrastructure+

Where a Customer purchases Infrastructure+ from Trustack, these Supplemental Terms shall apply, in addition to those in the Agreement.

Interpretation

 

These additional definitions apply:

  

Commencement Date

Infrastructure+

the date as set out in the Quotation.

infrastructure plus, which includes:

a) an annual health check of the Customer’s infrastructure as carried out by a Trustack technical consultant,

b) software updates (minor or major version upgrades) (provided the Customer has a valid support and subscription agreement is in place); and

c) hardware firmware updates (provided the Customer has a valid support and subscription agreement is in place)

Term

the period of time it is agreed that Trustack is to provide Infrastructure+, as set out in the Quotation.

1. Term

These Supplemental Terms commence on the Commencement Date and will continue for the Term, after which they will remain in force and automatically renew for successive 36 (thirty six) calendar month periods (Renewal), subject to then current prices, until terminated by either party. Either party may terminate by providing at least 60 (sixty) days’ notice to terminate, to expire no earlier than the expiry date of the Term or Renewal.

 

2. Provision of the Support Services

2.1 Trustack will provide Infrastructure+ to the Customer in accordance with these Supplemental Terms.  Infrastructure+ is an additional service to Trustack’s standard support services (subject to separate Supplemental Terms, which apply in addition to these).

2.2 Customers with Infrastructure+ will benefit from:

2.2.1 an annual health check to identify any issues, lack of capacity or aging hardware/software (such hardware or software to be limited to those currently supported by Trustack)  (Health Check);

2.2.2 product version updates;

2.2.3 firmware updates;

2.2.4 remediation of any issues found during the health check, except where issues relate to or are associated with end of life software or hardware or due to additional equipment requirements.

2.3 If any additional third party vendor costs are incurred as a result of Trustack’s performance of Infrastructure+, any such costs will be charged to the Customer (at the applicable rates, depending on when the work is performed) and will be included in Trustack’s next invoice.

 

3. Customer Responsibilities

3.1 The Customer is responsible for:

3.1.1 ensuring it has valid support and subscription in place with the relevant vendor for any subsequent upgrades of software and/or firmware;

3.1.2 where notified by Trustack, providing up to date documentation for the Customer’s systems to enable Trustack to perform the Health Check;

3.1.3 ensuring it has reliable backups prior to any update work being carried out (unless Trustack manage the backups for the Customer under separate supplemental terms);

3.1.4 the Customer’s credentials for the Customer’s support and subscription with the relevant vendor to download new product versions, firmware, hotfixes etc, or, the Customer to provide the downloaded packages to Trustack on suitable media.

 

4. Charges and payment terms

4.1 Unless expressly agreed to the contrary, the Customer will be invoiced annually or monthly in advance (as described in the Quotation).

4.2 Trustack will be entitled to increase its charges for Infrastructure+ by a minimum of 5% on the anniversary of the Term on written notice to
the Customer.
