Where a Customer submits a referral (as defined below) to Trustack, these Supplemental Terms shall apply, in addition to those in the Agreement.
1. Interpretation
The following definitions and rules of interpretation apply in these Conditions.
1.1 Definitions:
Existing Client means a current client of Trustack who is eligible to make a referral.
Referral means the introduction of a prospective customer to Trustack in accordance with these terms
Referral Reward means the reward, credit, or discount offered by Trustack for a qualifying referral.
Referred Customer means the person or organisation introduced to Trustack by the Existing Client.
Qualifying Referral means a referral that satisfies all requirements set out in these terms.
2. Eligibility
2.1 The Existing Client must be in good standing with Trustack at the time the Referral is made and at the time any Referral Reward becomes payable,
2.2 Employees, contractors, agents and representatives of Trustack may not participate in the scheme unless Trustack expressly agrees otherwise in writing.
2.3 Trustack may refuse or reject a Referral where, in Trustack’s reasonable opinion, the Referral does not comply with these terms or is otherwise inappropriate, incomplete, duplicated or unsuitable.
3. Making a Referral
3.1 Referrals must be submitted using the method specified by Trustack from time to time, which may include email, a referral form or direct introduction to a Trustack representative,
3.2 The Existing Client must have the Referred Customer’s permission to share their contact details with Trustack,
3.3 The Referral must include sufficient information to allow Trustack to contact and assess the Referred Customer,
3.4 A Referral will not qualify if the Referred Customer is already an existing client of Trustack, is already in active discussions with Trustack, has previously been referred by another party, or is otherwise known to Trustack as a prospect before the Referral is submitted.
4. Qualifying Referrals and Rewards
4.1 A Referral will become a Qualifying Referral only when the Referred Customer enters into a binding agreement with Trustack for eligible products or services, and satisfies any minimum value, minimum term or other criteria as set by Trustack,
4.2 For each Qualifying Referral, the referring customer will receive a reduction against their next monthly invoice, which is equivalent to 50% of the invoice of the Referred Customer.
4.3 Unless Trustack confirms otherwise, only one Referral Reward will be available for each Referred Customer,
4.4 Where a Referral Reward is provided as account credit or discount, it may only be applied against future Trustack invoices and has no cash redemption value.
5. Exclusions
5.1 No Referral Reward will be payable where the Referred Customer cancels, terminates, fails to pay, or does not proceed with the relevant agreement,
5.2 No Referral Reward will be payable where the Referral arises from unlawful, misleading, unsolicited or inappropriate marketing activity,
5.3 The Existing Client must not make any representation, warranty, promise or commitment on behalf of Trustack,
5.4 The Existing Client must not claim to be an agent, partner or authorised representative of Trustack.
6. Payment and Tax
6.1 Where a Referral Reward is payable, only invoice discounts are available under the scheme. Trustack will not provide cash alternatives, accumulated credit, banked service days, professional services days or any other service credit as an alternative,
6.2 Subject to clause 5.1, the Existing Client will receive a credit against the first available monthly invoice / invoices following full and cleared payment of the Referred Customer’s first invoice having been received by Trustack.
6.3 The Existing Client is responsible for any tax, reporting or accounting obligations arising from receipt of a Referral Reward,
6.4 Trustack may withhold, reduce, cancel or recover a Referral Reward if it reasonably believes that these terms have been breached or that the Referral Reward has been paid or applied in error.
7. Data Protection and Consent
7.1 The Existing Client must ensure that it has a lawful basis and any necessary consent to provide the Referred Customer’s personal data to Trustack. Trustack will process any personal data received in connection with the referral scheme in accordance with applicable data protection legislation and its privacy notices.
8. Liability
8.1 Nothing in these terms limits or excludes liability where such limitation or exclusion is not permitted by law. Subject to that, Trustack will not be liable for any loss arising from rejection of a Referral, withdrawal or amendment of the scheme, non-payment of a Referral Reward where the qualifying criteria have not been met, or any reliance placed by the Existing Client on the continuation of the scheme.
9. Changes to or Withdrawal of the Scheme
9.1 Trustack may amend, suspend or withdraw the referral scheme at any time. Any Referral submitted before a change or withdrawal will be assessed under the terms in force at the time of submission, unless Trustack reasonably determines otherwise.
10. General
10.1 These terms do not create any agency, partnership, joint venture or employment relationship between Trustack and the Existing Client,
10.2 If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
10.3 Failure by Trustack to enforce any provision of these terms will not constitute a waiver of that provision or any other right,
10.4 These terms are governed by the laws of England and Wales, and the courts of England and Wales will have exclusive jurisdiction in relation to any dispute arising out of or in connection with the referral scheme.
